1. Scope of Services
IESL provides specialized technical services including, but not limited to:
Calibration: On-site and lab-based instrument calibration.
HVAC Services: Maintenance, validation, and system optimization.
Tempering Mapping: Temperature and humidity distribution studies for storage and manufacturing areas.
2. Client Obligations
To ensure accurate results and safe operations, the Client agrees to:
Site Access: Provide IESL technicians with safe and sufficient access to all relevant equipment and facilities on the scheduled service date.
Environment: For on-site calibration, the Client must provide an environmentally controlled area with proper lighting and electrical services.
Safety & Hazards: The Client must provide written notice of any known health or safety hazards (e.g., chemical or biological contaminants) relevant to the equipment or site.
3. Service Standards & Validation
Standard of Care: IESL will perform all services with the reasonable skill and care expected of a professional engineering service provider.
Compliance: Services for pharmaceutical clients are designed to align with relevant standards such as WHO guidelines and ISO 14644-3 for cleanroom validation.
Report Accuracy: Results and certificates apply only to the specific equipment at the time of testing. IESL does not warrant the equipment’s future performance or its suitability for the Client’s specific intended use.
4. Payment Terms
Invoicing: IESL will submit invoices based on the agreed-upon Quotation or Progress Payment schedule.
Due Date: Payments are due within [30] days of the invoice date unless otherwise specified.
Late Fees: Overdue accounts may be subject to interest charges or suspension of ongoing services.
5. Limitation of Liability
Direct & Indirect Loss: IESL is not liable for indirect, special, or consequential damages, including loss of profit, business interruption, or loss of production.
Liability Cap: Total liability for any claim shall not exceed the amount paid for the specific service or the limit of IESL’s professional indemnity insurance.
Data Integrity: While IESL ensures accurate mapping data, the Client is responsible for maintaining their own backup records of all validation reports once delivered.
6. Confidentiality & Intellectual Property
Confidential Information: Both parties agree to keep technical and commercial know-how confidential.
IP Ownership: All intellectual property created during the service (e.g., mapping models or custom HVAC software) remains the property of IESL. The Client is granted a non-exclusive license to use these for their internal business purposes.
7. Force Majeure IESL shall not be held liable for failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, utility failures, or government restrictions.
